Marketplace Purchase and Sale Agreement (V1.1)
GGBOYS CS2 ITEM MARKETPLACE PURCHASE AND SALE AGREEMENT
This GGBOYS CS2 Item Marketplace Purchase and Sale Agreement ("Agreement") governs marketplace purchase and sale transactions involving eligible Counter-Strike 2 ("CS2") virtual items conducted through the GGBOYS platform, website, applications, order pages, listing tools, offer tools, buy order tools, platform balance features, customer support systems, and related marketplace services (collectively, the "Platform"). This Agreement is entered into among: (1) the user listing, offering, or selling an eligible CS2 virtual item through the Platform ("Seller"); (2) the user purchasing, offering to purchase, or creating a buy order for an eligible CS2 virtual item through the Platform ("Buyer"); and (3) GGBOYS, the operator of the Platform ("GGBOYS," "Platform," "we," "us," or "our"). By registering for GGBOYS, clicking "I Agree," depositing funds, using Platform Balance, listing an item, purchasing an item, submitting an offer, accepting an offer, creating a buy order, accepting a buy order, initiating or accepting a Steam Trade, submitting a claim, requesting a refund, requesting a withdrawal, or otherwise using marketplace services, the user agrees to this Agreement and all applicable GGBOYS rules, policies, order pages, fee schedules, risk rules, seller protection rules, buy order rules, payment rules, KYC rules, privacy policies, and platform notices.
1. Important Valve, Steam, and CS2 Disclaimer
GGBOYS is not affiliated with, sponsored by, endorsed by, authorized by, operated by, or officially connected with Valve Corporation, Steam, Counter-Strike 2, or any Valve product or service. CS2 virtual items are controlled through Steam and Valve systems. GGBOYS does not control Valve, Steam, CS2, Steam Trade Offers, Steam accounts, Steam inventories, Steam Community Market, Steam APIs, Steam Guard, trade cooldowns, trade restrictions, Valve account policies, Valve item policies, or Valve system availability. References in this Agreement to "buy," "sell," "purchase," "sale," "delivery," "transfer," "item," "listing," "Buyer," or "Seller" are commercial marketplace terms used to describe platform-based user transactions involving Steam-tradable CS2 virtual items or related user-controlled virtual item interests. These terms do not create or imply ownership rights greater than those recognized by Valve, Steam, applicable Valve agreements, or applicable law. Users are solely responsible for complying with all Valve, Steam, CS2, and third-party platform rules applicable to their accounts, inventories, trades, and virtual items.
2. Platform Role
For ordinary user-to-user marketplace transactions, GGBOYS acts as a marketplace platform provider only. GGBOYS is not the Buyer, Seller, owner, custodian, broker, dealer, investment adviser, financial adviser, escrow agent, trustee, fiduciary, bank, money transmitter, insurer, guarantor, or unconditional payment protector for ordinary user-to-user transactions. GGBOYS provides marketplace tools, listing functionality, order generation, platform balance ledger functionality, payment processing support through payment service providers, transaction records, risk review, customer support, claim handling, settlement procedures, account controls, and related platform services. GGBOYS does not guarantee that any user will complete a transaction, that any Steam Trade Offer will succeed, that Valve or Steam systems will remain available, that any item will remain tradable, or that any CS2 item will retain any value. GGBOYS does not conduct ordinary official inventory sales through the marketplace. GGBOYS official inventory, if any, is used only for separate promotional or zero-rent rental programs governed by separate rental terms and event rules, unless GGBOYS expressly states otherwise in a separate official written program.
3. Agreement Structure and Incorporated Rules
This Agreement incorporates by reference all applicable GGBOYS policies, including the Terms of Service, Privacy Policy, Fee Schedule, Risk Rules, Seller Protection Rules, Buy Order Rules, Offer Rules, KYC Rules, Payment Rules, Refund Rules, Withdrawal Rules, Dispute Rules, order page disclosures, checkout disclosures, and platform notices. If there is a conflict among documents, the more specific transaction rule, order-page disclosure, checkout disclosure, or Fee Schedule provision generally controls for that specific transaction, unless prohibited by law or unless GGBOYS determines in good faith that applying such rule would create fraud risk, payment risk, Steam risk, compliance risk, system security risk, or platform integrity risk. GGBOYS may update incorporated rules from time to time as provided in this Agreement.
4. Eligibility, Age, KYC, and U.S. Market Restriction
Users must be at least eighteen (18) years old to use the Platform. All users must successfully complete GGBOYS-required identity verification before purchasing, selling, listing, submitting or accepting offers, creating or fulfilling Buy Orders, using Platform Balance, requesting a refund, or requesting a withdrawal. GGBOYS may require additional age verification, payment verification, Steam account verification, tax verification, sanctions screening, enhanced due diligence, source-of-funds information, or other risk review at any time. Users may be required to provide legal name, date of birth, residential address, a unique active email address, government- issued identification, Steam ID, Steam Trade URL, payment information, tax information, business information, source-of-funds information, and any other information reasonably required by GGBOYS, payment processors, compliance vendors, tax authorities, law enforcement, or applicable law. A phone number may be requested but is not required unless GGBOYS states otherwise for a particular feature or risk review. GGBOYS primarily operates for the United States market. GGBOYS may restrict, reject, suspend, or prohibit access to deposits, purchases, sales, offers, Buy Orders, refunds, withdrawals, Platform Balance, promotions, or other features for users located outside the United States or for users whose IP address, payment method, KYC information, Steam account, address, device, behavior, or account signals indicate geographic, identity, payment, or compliance inconsistency.
Users may not use VPNs, false addresses, false KYC information, another person's identity, another person's payment method, another person's Steam account, or any other method to bypass geographic restrictions, identity verification, payment controls, or risk controls.
5. Sanctions, AML, and Prohibited Financial Conduct
Users represent and warrant that they are not located in, organized in, ordinarily resident in, acting on behalf of, or controlled by any sanctioned jurisdiction, sanctioned person, blocked person, restricted person, or prohibited party under applicable U.S. sanctions, export control, anti-money-laundering, counter-terrorist-financing, or similar laws. Users may not use GGBOYS for money laundering, terrorist financing, sanctions evasion, fraud, stolen funds, stolen accounts, stolen virtual items, chargeback schemes, unlawful gambling, unlawful wagering, illegal proceeds, or any unlawful transaction. GGBOYS may freeze, restrict, reject, report, delay, reverse, or refuse any transaction, balance, refund, withdrawal, account, or platform activity if GGBOYS determines in good faith that sanctions, AML, payment, fraud, identity, account, legal, or compliance risk exists.
6. No Gambling, Betting, Wagering, or Loot Box Use
GGBOYS is a marketplace platform for eligible user-to-user CS2 virtual item transactions. GGBOYS does not offer gambling, betting, casino games, wagering, lottery games, games of chance, or loot boxes through this Agreement. Users may not use GGBOYS, Platform Balance, CS2 items, listings, offers, buy orders, or marketplace transactions for gambling, betting, wagering, casino-style activity, game-of-chance activity, illegal raffles, illegal sweepstakes, or gambling-related payments. GGBOYS may cancel transactions, freeze funds, restrict accounts, deny settlement, deny refunds, deny Seller Protection, and take other risk measures if GGBOYS determines that a user is using or attempting to use the Platform for gambling-related, wagering-related, or unlawful promotional activity.
7. One Person, One Account
Each natural person may maintain only one GGBOYS account unless GGBOYS expressly authorizes otherwise in writing. Users may not create or use multiple accounts to avoid KYC requirements, negative balances, account restrictions, bans, transaction limits, withdrawal limits, buy order limits, promotion limits, risk controls, or platform rules. GGBOYS may link accounts based on Steam accounts, email addresses, phone numbers, payment methods, KYC information, addresses, devices, IP addresses, behavioral patterns, transaction records, or other risk signals. GGBOYS may consolidate treatment of linked accounts, including balances, negative balances, account restrictions, bans, orders, claims, refunds, withdrawals, payment disputes, chargebacks, risk investigations, and amounts owed.
8. Account Security
Users are responsible for maintaining the security of their GGBOYS account, Steam account, email account, passwords, two- factor authentication, Steam Guard, Trade URL, API keys, payment accounts, KYC information, tax information, and devices. Losses caused by compromised accounts, phishing, leaked credentials, unsafe devices, account sharing, use of another person's payment method, user negligence, user error, or failure to secure Steam or GGBOYS credentials are the user's responsibility unless GGBOYS expressly determines otherwise in writing. GGBOYS may assist with investigation, freeze accounts, pause transactions, or conduct risk review, but GGBOYS does not guarantee reimbursement for losses caused by user account compromise, phishing, leaked credentials, unsafe devices, or user negligence.
9. Platform Balance, Deposited Funds, and Payment Processors
All marketplace purchases, offers, buy orders, rentals, deposits, fees, and other platform consumption must be funded through the user's GGBOYS Platform Balance or another GGBOYS-approved internal account balance. GGBOYS does not support split payments between Platform Balance and external payment methods for a single marketplace transaction unless GGBOYS expressly states otherwise. Users must deposit funds into GGBOYS before using such funds for purchases, offers, buy orders, rentals, deposits, fees, or other Platform-approved purposes. Platform Balance represents a limited-use internal platform ledger entry or platform account balance usable only within GGBOYS according to Platform rules. Platform Balance is not a bank account, deposit account, securities account, investment account, cash-equivalent account, trust account, interest-bearing account, or general-purpose stored-value product. GGBOYS is not a bank, escrow agent, trustee, fiduciary, investment company, insurer, or financial adviser. Payment processing, deposit functionality, refund functionality, withdrawal functionality, settlement functionality, KYC functionality, and related compliance functions may be provided, supported, or restricted by licensed payment processors, banking partners, regulated service providers, KYC vendors, tax vendors, or other third-party service providers. GGBOYS may modify, suspend, restrict, or discontinue any balance, deposit, refund, withdrawal, payment, or settlement feature if required for payment compliance, money transmission compliance, AML compliance, sanctions compliance, processor requirements, banking partner requirements, legal requirements, or risk controls. Platform Balance does not earn interest and may not be transferred, sold, assigned, gifted, pledged, or moved to another user except where GGBOYS expressly permits. GGBOYS may freeze, restrict, delay, offset, deduct, or reclassify Platform Balance if there is a chargeback, payment dispute, KYC issue, negative balance, account abnormality, fraud risk, Steam risk, user violation, legal requirement, payment processor requirement, compliance review, tax issue, or platform risk.
10. Refunds of Deposited Funds
Unused deposited funds may be refundable only to the original payment method, subject to GGBOYS's risk review, payment processor rules, chargeback status, KYC status, account standing, negative balance, fraud review, payment dispute status, and applicable law. Deposited funds may not be withdrawn to a different bank account, PayPal account, third-party account, non- original payment method, another user, or unrelated recipient. If deposited funds have been partially used, only the unused portion may be eligible for refund. If the user has a negative balance or owes amounts to GGBOYS, GGBOYS may first offset unused funds against amounts owed before processing any
refund. GGBOYS may delay, freeze, restrict, deny, offset, or reverse refunds where required or permitted by platform rules, risk review, KYC status, account status, payment processor rules, chargeback risk, tax requirements, legal requirements, fraud risk, Steam risk, or user violations.
11. Withdrawals
Only eligible transaction proceeds, including sale proceeds, rental proceeds, or other GGBOYS-approved earnings, may be withdrawn. Unused deposited funds generally may only be refunded to the original payment method and may not be withdrawn as transaction proceeds. Promotional credits, coupons, bonuses, rewards, subsidies, platform-granted credits, and other non- cash promotional benefits are not withdrawable unless GGBOYS expressly states otherwise. Withdrawals are currently available only to eligible users located in the United States who satisfy GGBOYS identity, account, tax, banking, payment, and risk-control requirements. Withdrawals require completed KYC, good account standing, no unresolved negative balance, no unresolved chargeback or payment dispute, no unresolved fraud review, no unresolved Steam reversal risk, no unresolved claim, no unresolved tax issue, and completion of all applicable settlement holds. Eligible proceeds are ordinarily subject to at least an eight (8) calendar-day cooling or settlement period and completion of related risk controls before becoming available for withdrawal. The minimum gross amount of a single withdrawal request is five U.S. dollars (US $5.00). Withdrawal fees are determined by the total gross amount of each individual withdrawal request and apply to the entire amount of that request; the schedule is not progressive or marginal. Unless a different fee is displayed and accepted before submission, the current withdrawal fees are: 4.5% for US $5.00 through US $2,500.00; 4.0% for US $2,500.01 through US $10,000.00; 3.5% for US $10,000.01 through US $50,000.00; 3.0% for US $50,000.01 through US $100,000.00; and 2.5% for US $100,000.01 and above. The applicable fee will ordinarily be deducted from the requested withdrawal amount. Withdrawals may also be subject to processing times, account review, payment processor rules, banking partner rules, and conditions stated in the current Fee Schedule or withdrawal page. GGBOYS may delay, freeze, restrict, deny, reverse, or offset withdrawals where required or permitted by disclosed Platform rules, risk review, payment processor rules, tax requirements, legal requirements, or user account status.
12. Marketplace Fees and Fee Schedule
Ordinary marketplace sale transactions currently carry a zero percent (0%) Buyer transaction fee and a zero percent (0%) Seller transaction fee, unless GGBOYS clearly states otherwise in the Fee Schedule, order page, or checkout page before the user becomes bound. GGBOYS may in the future charge Buyer fees, Seller fees, platform fees, service fees, processing fees, withdrawal fees, risk charges, settlement charges, administrative charges, investigation charges, or other fees, but only if such charges are clearly disclosed in this Agreement, the applicable Fee Schedule, or the relevant order or checkout page before the user becomes responsible for them, except where a charge is expressly authorized by law or necessary to recover a documented amount already owed. New marketplace transaction fees generally apply only to transactions created after the fee becomes effective and do not retroactively change already-created Purchase Orders, unless required for fraud prevention, payment risk, chargeback handling, legal compliance, system security, or applicable law.
13. Seller Listings
A Seller may list eligible CS2 virtual items for sale through the Platform. A Seller Listing remains active until it is sold, removed by Seller, removed or restricted by GGBOYS, or otherwise becomes unavailable, invalid, risky, non-compliant, or unsuitable under Platform rules. A Seller may modify the listing price before a Buyer initiates checkout, before an order enters pending payment, before an offer is accepted, and before a buy order is accepted. Once a Buyer initiates checkout or an order enters an awaiting-payment, pending-payment, checkout-lock, or similar locked status, Seller may not modify the listing price unless the payment fails, the checkout expires, the order is cancelled by GGBOYS, or the item is relisted. By listing an item, Seller represents and warrants that Seller lawfully controls the item through Seller's Steam account, has the right and ability to trade it through Steam Trade functionality, and that the item is not stolen, fraudulently obtained, disputed, chargeback-related, money- laundering-related, subject to third-party claims, subject to account compromise, or otherwise unlawful or high-risk. Seller further represents that Seller has the ability to deliver the item through Steam Trade using GGBOYS's designated process and that Seller's Steam account, inventory visibility, Trade URL, Steam Guard status, and trading permissions are sufficient to complete delivery. GGBOYS may remove, restrict, hide, freeze, delist, reclassify, or cancel any listing if GGBOYS determines in good faith that the item, Seller account, Steam account, inventory status, price, source, payment history, risk profile, or transaction behavior is abnormal, non-compliant, fraudulent, suspicious, or high-risk.
14. Buyer Review and Purchase Confirmation
Before purchasing, submitting an offer, or creating a buy order, Buyer is responsible for reviewing the item name, price, quantity, wear category, listing information, order details, applicable platform rules, and any checkout disclosures. Buyer acknowledges that CS2 virtual item values may increase or decrease, that market data may be delayed or inaccurate, that Steam or Valve restrictions may affect item tradability, and that completed purchases generally cannot be cancelled, refunded, repriced, or reversed because Buyer changes Buyer’s mind, dislikes the item, believes Buyer paid too much, experiences market price decline, or is dissatisfied with an attribute not promised by the applicable order page. Buyer must maintain the ability to accept Steam Trade Offers within the applicable deadline and is responsible for Buyer's Steam account, Trade URL, inventory settings, trade eligibility, and account security.
15. Pending Checkout and Buy Now Orders
"Pending Checkout" means a temporary, unpaid checkout lock after Buyer clicks Buy Now or otherwise begins checkout. Pending Checkout is not a Purchase Order, does not create a completed purchase, and does not require Seller to deliver unless Buyer completes payment and GGBOYS creates a Purchase Order. If Buyer initiates checkout but does not complete payment within three (3) minutes, the Pending Checkout will automatically expire, the attempted checkout will be cancelled, and the item may be relisted or returned to available status. Buyer's failure to complete payment during the three-minute checkout window is not, by itself, a breach and does not result in the Order Failure Fee. However, GGBOYS may restrict, review, or limit users who repeatedly, maliciously, automatically, or abusively occupy checkout locks, interfere with other users, or disrupt marketplace operations. Once Buyer payment is completed and GGBOYS creates a Purchase Order, the order becomes binding and enters the pending delivery process. Order creation does not mean final transaction completion. A transaction is completed only after GGBOYS records successful delivery, the applicable protection and settlement periods expire, and no unresolved claim, payment dispute, chargeback, Steam reversal, fraud review, or platform risk remains.
16. Buyer Cancellation After Payment
After Buyer completes payment and a Purchase Order is created, Buyer may not cancel the order through GGBOYS during the first thirty (30) minutes after order creation. After thirty (30) minutes, if Seller has not yet initiated the Steam Trade through GGBOYS's designated process, Buyer may cancel through GGBOYS's designated cancellation process without an Order Failure Fee. Buyer funds will be returned according to Platform rules, and the item may be relisted or otherwise handled by GGBOYS according to risk review. Once Seller initiates the Steam Trade, Buyer may no longer cancel without consequence. If Buyer refuses, cancels, modifies, fails to accept, allows the Steam Trade Offer to expire, or otherwise causes transaction failure after Seller initiates delivery, Buyer is responsible for the Order Failure Fee and may be subject to account restrictions.
17. Seller Delivery Obligation
After a Purchase Order is created, Seller must initiate delivery through GGBOYS's designated Steam Trade process within twelve (12) hours unless GGBOYS specifies another deadline on the order page. If Seller fails to initiate delivery within twelve (12) hours, refuses delivery, cancels delivery, modifies the Steam Trade, lacks the item, has an unavailable inventory, has an invalid Trade URL, has a restricted Steam account, or otherwise causes transaction failure, Buyer will be refunded according to Platform rules, Seller will owe the Order Failure Fee, and GGBOYS may restrict Seller's account, balance, withdrawals, listings, rentals, buy order activity, or other Platform functions.
18. Buyer Acceptance Obligation
After Seller initiates the Steam Trade through GGBOYS's designated process, Buyer must accept and complete the Steam Trade within twelve (12) hours unless GGBOYS specifies another deadline on the order page. If Buyer fails to accept, refuses, cancels, modifies, delays, lets the Steam Trade Offer expire, has an invalid Trade URL, has a restricted Steam account, or otherwise causes transaction failure, the order may be cancelled, Buyer will owe the Order Failure Fee, remaining funds will be handled according to Platform rules, and GGBOYS may restrict Buyer's account, balance, purchases, offers, buy orders, withdrawals, refunds, promotions, rentals, or other Platform functions.
19. Offers and Counteroffers
GGBOYS may provide structured offer, counteroffer, and negotiation tools. Users cannot freely type arbitrary messages in the marketplace communication system. Users may communicate only through GGBOYS-approved structured messages, fixed phrases, buttons, price inputs, offer functions, counteroffer functions, acceptance functions, rejection functions, or other Platform-approved communication tools. A Buyer may submit a binding offer for an eligible listed item. When Buyer submits a binding offer, GGBOYS may lock, reserve, authorize, or otherwise restrict the offered amount from Buyer's Platform Balance. Buyer may not submit an offer unless Buyer has sufficient available Platform Balance or another GGBOYS-approved funding source. Buyer may cancel a pending offer only before Seller acceptance and only through GGBOYS's designated offer cancellation page or process. Offer cancellation before Seller acceptance does not create a Purchase Order and does not result in an Order Failure Fee. If Seller accepts Buyer's binding offer, a Purchase Order is automatically created and becomes binding without further Buyer confirmation. Seller must then deliver within the applicable delivery deadline. If Seller accepts an offer and then refuses, fails, delays, or otherwise causes transaction failure, Seller will owe the Order Failure Fee. For a single item with multiple pending offers, Seller may choose which offer to accept. Seller is not required to accept the highest offer and may accept, reject, ignore, or wait on pending offers. Once Seller accepts one offer and a Purchase Order is created, other pending offers for that item automatically expire or are released according to Platform rules. A pending offer remains valid for twelve (12) hours unless cancelled by Buyer, rejected by Seller, accepted by Seller, expired, invalidated by GGBOYS, or otherwise restricted by Platform rules. Seller may remove a listing, modify a listing, reject offers, or decline to act on offers before accepting any offer. Seller modification of a listing price does not automatically cancel existing pending offers unless GGBOYS determines otherwise. GGBOYS may reject, block, or invalidate any offer below the applicable buy order price, minimum offer threshold, market floor, risk threshold, or Platform rule.
20. Buy Orders
Buyer may create a Buy Order for eligible items through GGBOYS. A Buy Order allows Buyer to specify an item type, unit price, quantity, and wear category as permitted by the applicable item page. Unless GGBOYS expressly provides additional filters, Buyer may not require a specific float value, float range, pattern, sticker, nametag, StatTrak status, Souvenir status, sticker position, or other special attribute through a Buy Order. A Buy Order applies to the item and wear category selected on the applicable item page. Any item of the same item type and selected wear category may be eligible to fulfill the Buy Order, regardless of exact float value within that wear category, unless GGBOYS expressly states otherwise on the Buy Order page. Buyer may create a Buy Order with a quantity of up to one hundred (100) units for a single item type unless GGBOYS specifies a different quantity limit. GGBOYS may impose quantity limits, item eligibility rules, account limits, KYC requirements, balance
requirements, risk controls, or other restrictions. A Buy Order may have an expiry selected by Buyer at creation, including seven (7) days, fourteen (14) days, thirty (30) days, Forever, or other expiry options provided by GGBOYS. The expiry period of a Buy Order is determined at the time the Buy Order is created. Modifying the unit price, quantity, pause status, or other editable fields of a Buy Order does not restart, extend, or reset the original expiry period. To obtain a new expiry period, Buyer must cancel the existing Buy Order and create a new Buy Order. If Buyer selects Forever, the Buy Order does not automatically expire. Funds remain locked while the Forever Buy Order exists, unless the Buy Order is cancelled, fully fulfilled, restricted, invalidated, or closed by GGBOYS. GGBOYS may require Buyer to reconfirm, update funding authorization, update KYC, update payment information, accept updated rules, provide risk information, or otherwise confirm account status for any Forever Buy Order. If Buyer fails to comply, GGBOYS may pause, cancel, restrict, or close the Buy Order. While a Buy Order exists, the unfulfilled portion of the required funds remains locked, reserved, authorized, or otherwise restricted. If Buyer modifies a Buy Order to increase the unit price or quantity, Buyer must provide additional Platform Balance or authorization for the increase. If Buyer modifies a Buy Order to decrease the unit price or quantity, GGBOYS may release the difference according to Platform rules. Buyer may not reduce total quantity below the quantity already fulfilled. Buyer may modify, pause, resume, or cancel a Buy Order before Seller acceptance. A paused Buy Order cannot be accepted by Seller, but funds remain locked and the original expiry continues to run. Cancellation ends the Buy Order and releases unfulfilled locked funds according to Platform rules. A Buy Order may be partially fulfilled. Each partial fulfillment creates a separate Purchase Order or sub-order for the fulfilled quantity. The remaining unfulfilled quantity remains open until fully fulfilled, expired, paused, modified, cancelled, or restricted by GGBOYS. For example, if a Buy Order for 100 units is fulfilled for 20 units, the system may display 20/100 fulfilled and 80/100 remaining. If Seller accepts a Buy Order, a Purchase Order is immediately created for the accepted quantity. Seller must deliver within twelve (12) hours. Buyer must accept within twelve (12) hours after Seller initiates the Steam Trade. Failure by either party is handled under the applicable Order Failure Fee and risk rules. GGBOYS must display or otherwise make available clear notice that Buy Order funds remain locked while the Buy Order exists, that paused Buy Orders do not release funds, that modifications do not reset expiry, and that Forever Buy Orders do not automatically expire.
21. Order Failure Fee
The Order Failure Fee is an administrative and liquidated damages fee owed to GGBOYS when a party causes a marketplace transaction failure after the relevant order obligation has attached. The Order Failure Fee is equal to one percent (1%) of the failed order amount or failed portion of the transaction amount, unless GGBOYS specifies otherwise in the Fee Schedule or applicable rules. The parties acknowledge and agree that actual damages from failed marketplace orders are difficult to calculate, including lost transaction opportunity, payment processing costs, customer support costs, order monitoring costs, risk review costs, system costs, user trust impact, and market disruption. The Order Failure Fee is intended as a reasonable pre- estimate of such costs and not as a penalty. The Order Failure Fee belongs entirely to GGBOYS and is not compensation owed to the non-breaching counterparty. The Order Failure Fee may apply when a responsible party cancels, refuses, modifies, fails to deliver, fails to accept, allows a Steam Trade Offer to expire, causes Steam trade failure, causes order failure, lacks the item, provides invalid trade information, has an unavailable account, or otherwise breaches applicable transaction obligations. For batch orders, partial fulfillments, or multi-item transactions, the Order Failure Fee applies only to the failed portion of the transaction attributable to the responsible party, unless GGBOYS determines in good faith that the entire order was affected by fraud, abuse, circumvention, manipulation, coordinated misconduct, or platform risk. If an order is cancelled due to GGBOYS system error, obvious pricing error, Steam-wide outage, third-party service failure, platform risk error, or another non-user- responsible event, GGBOYS generally will not impose the Order Failure Fee. If the Order Failure Fee is mistakenly charged in such circumstances, GGBOYS may refund, reverse, or credit it after confirmation. However, if a user knowingly exploits a bug, abnormal price, system delay, interface error, automation tool, or platform vulnerability, GGBOYS may cancel the transaction, restrict the account, freeze funds, deny protection, and impose only charges clearly disclosed in this Agreement, the applicable Fee Schedule, or the relevant order page before the user became bound, to the extent permitted by law. If a user lacks sufficient Platform Balance to pay the Order Failure Fee, GGBOYS may create or increase a negative balance. Future deposits, sale proceeds, rental proceeds, refunds, credits, rewards, or other amounts owed to the user may be applied first to the negative balance.
22. Eight-Day Settlement Hold
After GGBOYS records successful delivery of an item to Buyer, Seller proceeds are subject to an eight (8) calendar-day settlement hold. This is an independent GGBOYS operational and risk-control period and is separate from any Steam trade- protection, reversal, cooldown, or restriction period established by Valve or Steam. Seller proceeds are generally released after the eight-day hold ends and no unresolved claim, payment dispute, chargeback, Steam reversal, fraud review, account risk, item risk, tax issue, or other Platform risk remains. GGBOYS may extend the hold where reasonably necessary for risk review, payment processor requirements, legal compliance, chargeback defense, Steam risk, account review, or dispute handling. Completion of Steam delivery does not eliminate GGBOYS' right to review, freeze, offset, reverse, or reclassify funds if a later risk event occurs. Valve or Steam may change its own protection or reversal periods at any time; such changes do not automatically shorten GGBOYS' eight-day settlement hold.
23. Finality of Completed Purchases
All completed marketplace purchases are final once GGBOYS records successful delivery, except where GGBOYS determines that the item was not delivered, materially incorrect, reversed, fraudulent, subject to a valid platform dispute, or otherwise affected by a valid risk event. Buyer may not request cancellation, refund, repricing, compensation, or reversal merely because Buyer dislikes the item, regrets the purchase, believes the price was too high, experiences market price decline, prefers another
item, is dissatisfied with an attribute not promised by the order, or changes Buyer's mind. Seller may not request cancellation, repricing, compensation, or reversal merely because Seller believes the sale price was too low, the market price increased, the item became more valuable, or Seller changes Seller's mind after a binding order is created.
24. Claims and Disputes
Buyer or Seller may submit a claim, dispute, or ticket within twenty-four (24) hours after GGBOYS records the relevant transaction status if the user believes there is any order issue, including wrong item, wrong wear category, quantity mismatch, non-receipt, abnormal Steam Trade Offer, delivery issue, acceptance issue, system record inconsistency, or other transaction problem. If a user fails to submit a claim within twenty-four (24) hours, GGBOYS may treat the user as having failed to timely object, which may affect refund eligibility, Seller Protection, dispute handling, settlement, or other platform remedies. The twenty-four-hour claim deadline does not prevent GGBOYS from later investigating or acting on Steam reversals, trade rollbacks, chargebacks, payment disputes, fraud review, stolen account risk, unlawful item risk, system errors, or other platform- detected risk events. A claim does not automatically require GGBOYS to freeze funds. GGBOYS may freeze, hold, delay, restrict, or reclassify related funds if, after review, GGBOYS determines in good faith that the transaction involves a valid dispute, delivery issue, payment risk, Steam risk, fraud risk, account risk, or other platform risk. If GGBOYS determines that a claim is unsupported and the order appears valid, GGBOYS may reject the claim, continue the order process, release or continue holding Seller proceeds according to normal rules, and prohibit repeated claims based on the same issue. GGBOYS may restrict users who submit malicious, repeated, false, abusive, or unsupported claims. If GGBOYS determines that an order has a valid issue, GGBOYS may cancel the order, refund Buyer, withhold Seller proceeds, deduct or recover funds, require re- delivery, impose the Order Failure Fee, restrict the responsible party, freeze balance or withdrawals, deny Seller Protection, or take any other action GGBOYS reasonably determines is appropriate and legally permitted. GGBOYS's platform decision is binding for platform settlement, refunds, account status, balance treatment, Seller Protection, fees, and internal platform remedies, but does not waive any non-waivable rights a user may have under applicable law.
25. User Cooperation and Evidence
Users must cooperate with GGBOYS in any claim, dispute, chargeback, payment dispute, Steam reversal, trade rollback, abnormal transaction review, account review, risk investigation, fraud review, or Seller Protection review. GGBOYS may require Steam Trade Offer records, Steam screenshots, inventory screenshots, payment evidence, identity information, KYC information, account security explanations, order explanations, or any other materials reasonably requested by GGBOYS. If a user fails to cooperate, delays cooperation, refuses to provide information, provides incomplete information, or provides false information, GGBOYS may decide the matter based on available records and may deny refund, Seller Protection, withdrawal, claim, or dispute rights. Submitting false, forged, altered, misleading, or fraudulent evidence is a material violation. This includes forged Steam records, altered inventory screenshots, false payment evidence, false non-receipt claims, concealment of received items, false disputes, or collusion. GGBOYS may immediately deny the claim, deny refund, cancel Seller Protection, freeze funds, impose disclosed risk or administrative charges to the extent permitted by law, restrict or ban accounts, create negative balances, handle linked accounts, and seek recovery of losses.
26. Chargebacks and Payment Disputes
An inaccurate, abusive, fraudulent, or bad-faith chargeback, payment dispute, unauthorized payment claim, ACH return, card network dispute, bank dispute, payment reversal, or similar action relating to a Platform transaction, deposited funds, Platform Balance, purchase, offer, Buy Order, rental, fee, or other payment obligation constitutes a material breach. Nothing in this Section prevents a user from exercising non-waivable rights under applicable law or from reporting a genuinely unauthorized transaction. If Buyer initiates or causes a payment dispute, GGBOYS may treat the disputed amount as unpaid while the matter is reviewed, even if Platform Balance was previously credited or used. GGBOYS may freeze Buyer's account, linked accounts, Platform Balance, refunds, withdrawals, Buy Order funds, deposits, credits, sale proceeds, rental proceeds, and other amounts; create a negative balance; offset future amounts; restrict Platform activity; submit evidence to payment processors; and pursue recovery. Transactions funded by disputed payments may be reversed, reclassified, deducted, frozen, or treated as unpaid. If Buyer has received an item, Buyer remains responsible for the full order amount, related documented losses, and applicable disclosed Platform charges. Users authorize GGBOYS to use Platform records, order records, Steam records, transaction logs, KYC records, account records, IP records, device records, communication records, support tickets, and other relevant evidence to respond to chargebacks, payment disputes, payment processor inquiries, bank inquiries, legal requests, or risk investigations.
27. Seller Protection
Seller Protection is a discretionary platform risk program. It is not insurance, not a warranty, not a guarantee, not a regulated financial product, and not an unconditional promise of payment. GGBOYS may, in its discretion, provide limited protection to an eligible Seller where Seller fully complied with Platform rules and the issue arises from an external payment-system risk, such as card chargeback, Stripe dispute, unauthorized payment claim, card network dispute, ACH return, bank dispute, or payment reversal. Seller Protection does not apply automatically and does not have a fixed effective time. Chargebacks and payment disputes may occur during or after the eight-day settlement hold. GGBOYS determines Seller Protection eligibility case by case based on Platform records, Steam records, payment status, risk review, user conduct, transaction integrity, KYC status, account standing, and applicable Platform rules. Seller Protection may be denied, delayed, limited, revoked, or reduced if GGBOYS determines that Seller violated Platform rules, failed to deliver properly, delivered the wrong item, participated in fraud, collusion, manipulation, circumvention, abnormal trading, suspicious activity, account sharing, KYC evasion, Steam risk,
payment risk, or any conduct that contributed to the loss. Seller Protection is subject to transaction limits, account limits, item limits, risk review, payment status, fraud review, Platform policy, and GGBOYS's case-by-case determination. GGBOYS does not promise unlimited protection and may decline to cover losses beyond Platform-controlled funds unless GGBOYS expressly decides otherwise. Any public description of Seller Protection is subject to this Agreement, the Seller Protection Rules, eligibility conditions, exclusions, and platform risk review.
28. Steam Trade Reversal and Post-Completion Reversal Rules
If a Steam trade reversal, withdrawal, rollback, or similar post-completion reversal occurs after a sale is completed, GGBOYS may determine responsibility and settlement based on Platform records, Steam records, inventory history, payment records, account records, user conduct, and risk review. If Seller reverses, withdraws, causes rollback, or otherwise causes loss of the delivered item after a completed sale, GGBOYS may treat Seller as responsible. Seller may owe an amount equal to the greater of: (A) ten percent (10%) of the Order Amount plus any Market Difference; or (B) twenty percent (20%) of the Order Amount. "Market Difference" means the positive market difference determined by GGBOYS in good faith based on market data, comparable listings and sales, float, pattern, stickers, rarity, liquidity, Platform data, Steam-related information, and risk review. Market Difference will not be less than zero. If Buyer is harmed by Seller-caused reversal, Buyer may receive the original order payment and any positive Market Difference determined by GGBOYS. Remaining amounts may be applied to amounts owed, documented or reasonably estimated losses, payment processor fees, chargeback costs, fraud investigation costs, risk review costs, administrative settlement charges, and other disclosed charges under the Fee Schedule or Platform rules. Any remaining balance will be handled according to Platform rules and applicable law. If Buyer reverses, withdraws, causes rollback, or otherwise causes a completed sale to be reversed, GGBOYS may treat Buyer as responsible. If GGBOYS determines that Seller recovered or retained the item, Seller may receive five percent (5%) of the Order Amount, and remaining disputed funds may be applied to amounts owed, documented or reasonably estimated losses, payment processor fees, chargeback costs, fraud investigation costs, risk review costs, administrative settlement charges, and other disclosed charges under the Fee Schedule or Platform rules. Any remaining balance will be handled according to Platform rules and applicable law. If Seller does not recover the item, GGBOYS may use Buyer's disputed funds to compensate Seller according to Platform rules, but GGBOYS has no duty to pay any difference beyond Platform-controlled funds unless GGBOYS expressly decides otherwise. For reversal events, GGBOYS may freeze accounts, balances, withdrawals, refunds, buy order funds, linked accounts, Steam identifiers, emails, phone numbers, payment methods, devices, IP addresses, and other identifiers. GGBOYS may restrict, suspend, or permanently ban accounts depending on severity, cooperation, payment of owed amounts, fraud risk, and user conduct.
29. Steam and Valve Risks
GGBOYS does not control Steam, Valve, Steam Trade Offers, Steam account status, Steam inventory availability, Steam Guard, trade cooldowns, trade restrictions, VAC status, community bans, inventory privacy, Trade URLs, Steam APIs, Steam servers, or Valve policy changes. Users are responsible for maintaining their own Steam accounts, trade eligibility, inventory visibility, Trade URL accuracy, Steam Guard status, account security, and ability to send or receive items. If Seller's Steam account, inventory, Trade URL, trade permissions, item status, or account condition prevents delivery, Seller may be responsible. If Buyer's Steam account, Trade URL, receiving permissions, inventory status, or account condition prevents receipt, Buyer may be responsible. If Steam or Valve experiences a widespread system issue, outage, policy change, platform failure, or other event outside user control and outside GGBOYS control, GGBOYS may delay, pause, cancel, reschedule, reprocess, or otherwise handle affected transactions and may decline to impose the Order Failure Fee where no user is responsible.
30. Market Data, Prices, and Volatility
CS2 item prices are volatile. GGBOYS does not guarantee price accuracy, future value, liquidity, resale value, market depth, index performance, or consistency with any third-party marketplace. Market movement is not a valid basis to cancel, refund, reverse, reprice, or dispute a completed transaction. GGBOYS may provide market prices, indexes, estimates, historical charts, candlestick charts, heat scores, radar scores, volume data, liquidity data, market depth data, third-party market data, automated valuations, or reference prices. Such data is provided for informational purposes only and does not constitute investment advice, trading advice, financial advice, legal advice, tax advice, price guarantee, profit guarantee, or liquidity guarantee. GGBOYS does not guarantee that market data is real-time, complete, accurate, error-free, delay-free, or consistent with other marketplaces. Users make their own decisions and bear all market risk.
31. Obvious Error and System Error
GGBOYS may cancel, void, freeze, reverse, reprocess, or reclassify any transaction arising from an obvious pricing error, system error, data error, display error, synchronization error, market-data error, Steam data abnormality, inventory synchronization issue, automated abuse, abnormal request, or other abnormal Platform condition, even if payment has been submitted or a Purchase Order has been created. If a user knowingly exploits an obvious error, bug, abnormal price, delayed data, interface error, automation tool, system weakness, or platform vulnerability, GGBOYS may cancel transactions, freeze funds, deny settlement, deny refund, deny Seller Protection, restrict or ban accounts, impose disclosed risk or administrative charges to the extent permitted by law, create negative balances, and seek recovery of losses.
32. Prohibited Conduct
Users may not use GGBOYS, its listings, offers, buy orders, pricing data, Steam information, order flow, or communication tools to solicit, arrange, complete, or facilitate off-platform transactions, private payments, private delivery, or circumvention of GGBOYS. Users may not exchange off-platform contact information, arrange private Steam delivery, ask another user to cancel a GGBOYS order for a private deal, complete payment outside GGBOYS, use GGBOYS as a discovery or price-matching tool
for off-platform deals, or otherwise bypass Platform rules. Users may not use bots, scrapers, automated checkout tools, sniping scripts, price manipulation tools, abnormal API requests, mass checkout locks, automated abnormal-price purchases, offer spam, buy order spam, market data manipulation, volume manipulation, index manipulation, system delay exploitation, interface error exploitation, or any tool or conduct that disrupts fair marketplace operation. Users may not submit false reviews, fake testimonials, manipulated transaction feedback, undisclosed sponsored content, misleading promotional statements, or fraudulent marketing content. GGBOYS may remove, label, restrict, or report reviews, testimonials, or promotional content that violates platform rules or applicable advertising laws. Violations may result in order cancellation, balance freezes, settlement denial, refund denial, Seller Protection denial, account restrictions, linked account enforcement, disclosed risk charges, disclosed administrative charges, investigation charges to the extent permitted by law, negative balances, and recovery of losses.
33. Taxes
Users are solely responsible for all taxes related to purchases, sales, rentals, proceeds, withdrawals, rewards, compensation, credits, or other Platform activity. GGBOYS does not provide tax, legal, accounting, financial, or investment advice. GGBOYS may require users to provide W-9, TIN, SSN, EIN, legal name, address, business information, identity information, or other tax- related information required by GGBOYS, payment processors, tax authorities, or applicable law. GGBOYS may issue or facilitate tax forms, including Form 1099-K or other applicable tax forms, where required by law, payment processor rules, or tax authority requirements. If a user fails to provide required tax information, GGBOYS may suspend withdrawals, settlements, refunds, account access, Platform Balance use, or other Platform functions. Users remain responsible for reporting taxable income even if they do not receive a tax form from GGBOYS or a payment processor.
34. Privacy and Data Use
GGBOYS's collection, use, processing, retention, and disclosure of personal information is governed by the GGBOYS Privacy Policy and applicable law. Users acknowledge that GGBOYS may collect and process information necessary for account operation, KYC, payment processing, tax compliance, fraud prevention, sanctions screening, AML review, dispute handling, chargeback defense, Steam trade verification, customer support, account security, legal compliance, and platform risk management. GGBOYS may share information with payment processors, KYC vendors, compliance vendors, tax vendors, banking partners, fraud prevention vendors, legal advisers, auditors, government authorities, law enforcement, or other parties where permitted or required by law, platform rules, or risk review.
35. Limitation of Liability
To the maximum extent permitted by law, GGBOYS is not liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including lost market opportunity, lost item appreciation, market volatility, trading losses, business interruption, data loss, account loss, Steam account restrictions, Valve policy changes, or third- party platform failures. To the maximum extent permitted by law, GGBOYS's total liability to any user for claims arising out of or related to marketplace transactions, Platform services, balances, orders, offers, buy orders, claims, disputes, settlement, or this Agreement shall not exceed the greater of: (1) the Platform service fees actually paid by that user to GGBOYS during the three (3) months before the claim arose; or (2) one hundred U.S. dollars (US $100). This limitation does not modify ordinary order settlement obligations expressly provided by Platform rules and does not limit liability where prohibited by applicable law. Nothing in this Agreement excludes, limits, or waives any rights that cannot be excluded, limited, or waived under applicable law.
36. Updates to Agreement and Platform Rules
GGBOYS may update, modify, supplement, or replace this Agreement, the Fee Schedule, Risk Rules, Seller Protection Rules, Buy Order Rules, Offer Rules, withdrawal rules, KYC rules, payment rules, refund rules, dispute rules, Platform announcements, or other Platform policies from time to time. Updates generally apply to future transactions. Existing Purchase Orders generally are handled under the rules in effect when the order was created. However, GGBOYS may immediately apply updated rules or emergency measures where necessary for legal compliance, fraud prevention, payment risk, chargeback risk, Steam risk, system security, platform abuse, vulnerability response, user protection, or operational integrity. Continued use of GGBOYS after an update constitutes acceptance of the updated rules to the extent permitted by applicable law.
37. Notices
GGBOYS may provide notices through Platform notifications, registered email, SMS if a phone number is provided and verified, app or browser push, order pages, announcement pages, Fee Schedule pages, rules pages, customer support tickets, or other reasonable Platform notice methods. Notices sent to the email address registered with the user's GGBOYS account are deemed effective when sent, regardless of whether the user opens, reads, filters, deletes, or receives a notification for the email. Users are responsible for keeping their email address, phone number, Steam information, payment information, tax information, and account information accurate and up to date.
38. Electronic Agreement and Records
Users agree that electronic acceptance, clickwrap acceptance, Platform use, and transaction actions are valid and binding. A user agrees to this Agreement by registering, clicking "I Agree," depositing funds, purchasing, selling, listing, submitting an offer, accepting an offer, creating a Buy Order, accepting a Buy Order, initiating or accepting a Steam Trade, submitting a claim, withdrawing funds, using Platform Balance, or otherwise using marketplace services. GGBOYS may retain electronic records, including user ID, Steam ID, Steam Trade URL, IP address, device information, timestamps, click records, agreement version, order IDs, payment records, deposit records, withdrawal records, KYC records, customer support tickets, claim records, dispute records, Steam Trade records, risk records, and related Platform records. Such records may be used for order settlement, chargeback evidence, claim handling, dispute resolution, arbitration, small claims court, risk review, tax compliance, legal compliance, and other legitimate business purposes.
39. Informal Dispute Resolution
Before initiating arbitration or court proceedings, a user must first send GGBOYS a written notice of dispute describing the user's name, GGBOYS account, contact information, transaction ID if applicable, nature of the dispute, requested relief, and supporting evidence. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days after GGBOYS receives the notice, unless emergency relief, injunctive relief, fraud prevention, account security, payment risk, or applicable law requires faster action. This informal dispute process does not prevent GGBOYS from taking account, payment, settlement, risk, fraud, or security measures under this Agreement.
40. Governing Law
This Agreement shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise. Nothing in this Agreement deprives a consumer of non-waivable protections of the law of the consumer's place of residence where such protections cannot legally be waived.
41. Binding Individual Arbitration
To the fullest extent permitted by law, any dispute, claim, or controversy between a user and GGBOYS arising out of or relating to this Agreement, the Platform, any transaction, Platform Balance, payment, refund, withdrawal, item, listing, offer, buy order, claim, dispute, account restriction, Seller Protection decision, or related platform service shall be resolved by binding individual arbitration, not in court, except as expressly provided below. The arbitration shall be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules where applicable, or under another arbitration provider or rule set selected by GGBOYS if AAA is unavailable or inappropriate, provided that the selected provider and rules are consistent with applicable law. The arbitrator shall have authority to award individual relief available in court, subject to this Agreement and applicable law. The arbitrator shall not conduct class arbitration, collective arbitration, representative arbitration, consolidated arbitration, or private attorney general proceedings unless both GGBOYS and the user expressly agree in writing after the dispute arises. GGBOYS will pay arbitration fees to the extent required by applicable law or arbitration provider rules.
42. Small Claims Exception
Either party may bring an eligible individual claim in small claims court if the claim qualifies and remains in small claims court. If a small claims case is transferred, removed, appealed, or no longer qualifies for small claims court, either party may elect arbitration.
43. Class Action Waiver
To the fullest extent permitted by law, users and GGBOYS agree that disputes must be brought only on an individual basis. Users and GGBOYS waive the right to bring, participate in, join, or receive relief from any class action, collective action, representative action, consolidated action, mass arbitration, private attorney general action, or similar proceeding. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim or request for relief, then that claim or request for relief may proceed only to the extent required by law, and all other claims must be arbitrated individually to the fullest extent permitted by law.
44. Jury Trial Waiver
To the fullest extent permitted by law, users and GGBOYS knowingly and voluntarily waive any right to a jury trial for any dispute, claim, or controversy arising out of or relating to this Agreement, the Platform, any transaction, Platform Balance, payment, refund, withdrawal, item, listing, offer, buy order, claim, account restriction, or related platform service.
45. Injunctive and Emergency Relief
Nothing in this Agreement prevents GGBOYS from seeking injunctive, equitable, emergency, or other court relief for fraud, account abuse, platform abuse, circumvention, data security, intellectual property, payment fraud, chargeback abuse, automated attacks, scraping, market manipulation, account compromise, unlawful conduct, or conduct threatening Platform integrity.
46. Arbitration Opt-Out
A user may opt out of the arbitration provisions of this Agreement within thirty (30) days after first accepting this Agreement by sending a written opt-out notice to [email protected]. The opt-out notice must include the user's legal name, GGBOYS account email, Steam ID if applicable, and a clear statement that the user opts out of arbitration. Opting out of arbitration does not opt the user out of any other provision of this Agreement, including the class action waiver, jury trial waiver to the extent enforceable, governing law provision, payment rules, risk rules, or Platform rules.
47. Survival
The provisions relating to Platform Balance, fees, refunds, withdrawals, chargebacks, negative balances, claims, disputes, evidence, Seller Protection, Steam risk, prohibited conduct, account restrictions, taxes, limitation of liability, arbitration, class action waiver, jury waiver, governing law, records, and any amounts owed survive termination, account closure, suspension, or cancellation of this Agreement.
48. English Version Controls
The English version of this Agreement is the official and controlling version. Any translation is provided for convenience only. If there is any conflict between the English version and any translated version, the English version controls.
49. Severability
If any provision of this Agreement is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be modified or interpreted to the maximum extent permitted by law to achieve its intended purpose.
50. Entire Agreement
This Agreement, together with GGBOYS's applicable Terms of Service, Privacy Policy, Fee Schedule, Risk Rules, Seller Protection Rules, Buy Order Rules, Offer Rules, payment rules, withdrawal rules, KYC rules, dispute rules, order pages, checkout disclosures, and Platform notices, constitutes the applicable marketplace purchase and sale agreement between the parties for GGBOYS marketplace transactions.
51. Contact Information
